IR Basic Policy

Disclosure Policy

 

The SHINKAWA Group discloses information about its financial position and management plans in a timely and appropriate manner. In addition, the Group promotes dialog with a wide range of stakeholders in society, discloses information in a more useful way, and enhances management transparency.

Disclosure Standards

 

The SHINKAWA Group discloses information in a timely and appropriate manner by complying with the Financial Instruments and Exchange Act and all other applicable laws and regulations (hereinafter “laws and regulations”), as well as the “Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities” (hereinafter “Timely Disclosure Regulations”) established by the Tokyo Stock Exchange.
The Group also proactively discloses information that could have a substantial influence on the investment decisions of shareholders and other investors, even where disclosure standards specified by the laws and regulations and the Timely Disclosure Regulations do not apply.

Information Disclosure Methods

 

The SHINKAWA Group discloses information required by the Timely Disclosure Regulations through the TDnet (Timely Disclosure Network) provided by the Tokyo Stock Exchange. The Group also promptly posts the same information on its website after the disclosure.
The Group posts on its website, in a timely and appropriate manner, useful information for shareholders and investors which is not required by the Timely Disclosure Regulations.

Quiet Period

 

To prevent the leakage of earnings information and thus ensure fairness, the SHINKAWA Group sets a quiet period beginning from the day after the end of each quarter through to the announcement of earnings results for that quarter.
The Group refrains from answering questions related to its earnings results during this quiet period.
However, if it becomes apparent that the earnings results will substantially vary from the previously released projection, the Group will disclose information in accordance with the Timely Disclosure Regulations.

5.

Future Projection

 

The information the SHINKAWA Group discloses such as business projections, future plans and perspectives is based on the rational decisions of our executives in light of the information currently available.
Please be aware that actual results and performances may differ materially from those projected due to a number of environmental changes and external factors.
